ถึงแม้จะเป็นหุ้นที่จัดสรรให้กรรมการหรือพนักงาน ที่เรียกกันว่า หุ้น Employee Stock Option Program : ESOP เพื่อสร้างแรงจูงใจ เสริมสร้างกำลังใจ ร่วมกันผลักดันองค์กรให้เติบโตอย่างยั่งยืนก็ตาม
โดยเฉพาะเมื่อนายจำเริญ ได้เข้าซื้อหุ้นเพิ่มอีก 300,000 หุ้น นอกเหนือจากโควตาหุ้น ESOP นั้น สามารถกระทำได้หรือไม่ เนื่องจากอาจเข้าข่ายการใช้ข้อมูลภายในแสวงหาประโยชน์จากการซื้อขายหุ้น หรืออินไซเดอร์เทรดดิ้ง เพราะเป็นช่วงเวลาใกล้เคียงกับการเข้าซื้อกิจการ บริษัท เอสโซ่ จำกัด (มหาชน) หรือ ESSO ของบางจาก
กรณีดังกล่าวยังเป็นข้อถกเถียงกันอยู่ เพราะที่ผ่านมา ไม่เคยมีการรายงานข้อมูลการจัดสรรหุ้นในลักษณะนี้มาก่อน
และปัจจุบันยังไม่มีระเบียบ กฎเกณฑ์ หรือกติกาที่ชัดเจน ห้ามผู้แทนจากกระทรวงการคลัง ที่ไปนั่งเป็น “กรรมการ” รัฐวิสาหกิจหรือบริษัทที่กระทรวงการคลังถือหุ้น รับหุ้นที่รัฐวิสาหกิจหรือบริษัทจัดสรรให้ เพื่อตอบแทนการทำงาน นอกเหนือจากเงิน ค่าเบี้ยประชุม โบนัสประจำปี
หากจะอิงตามระเบียบกระทรวงการคลัง ว่าด้วยการจำหน่ายและซื้อหุ้นของกระทรวงการคลัง พ.ศ.2552 และ พ.ร.บ.วินัยการเงินการคลัง พ.ศ.2561 ก็ต้องตีความว่า “หุ้น” ที่ได้รับจัดสรรนั้น เป็นผลตอบแทนส่วนตน เช่น เบี้ยประชุม โบนัสประจำปี หรือเป็นผลประโยชน์ส่วนรวม
หากเป็นประโยชน์ส่วนตน สามารถรับได้ แต่ถ้าเป็นประโยชน์ส่วนรวม ต้องนำเสนอกระทรวงการคลัง ใช้เงินคงคลัง ตาม พ.ร.บ.เงินคงคลัง พ.ศ.2491 มาซื้อหุ้นที่ได้รับจัดสรร และรายได้ที่เกิดขึ้นถือเป็นรายได้แผ่นดิน
ขณะที่ข้อบังคับกระทรวงการคลังว่าด้วยจรรยาของผู้บริหารกระทรวงการคลัง เพื่อป้องกันการขัดหรือแย้งระหว่างประโยชน์ส่วนตนและประโยชน์ส่วนรวม พ.ศ.2553 ไม่ได้ระบุชัดเจนว่า ห้ามรับหุ้นที่ได้รับจัดสรรมา แต่กำหนดว่า เมื่อได้รับจัดสรรหุ้นมาแล้ว ต้องทำรายงานแจ้งรายละเอียดและเงื่อนไขต่อกระทรวงการคลัง ภายใน 15 วัน นับจากวันที่ได้รับแจ้งจากรัฐวิสาหกิจหรือนิติบุคคล
โดยข้อบังคับ ข้อ 9 ระบุไว้ว่า หลักทรัพย์นั้น ต้องสอดคล้องกับนโยบายการลงทุนของรัฐบาลหรือกระทรวงการคลัง ถ้าสอดคล้องต้องโอนสิทธิการได้มาให้กระทรวงการคลัง ถ้าหากไม่สอดคล้องกับนโยบายให้รายงานกระทรวงการคลังทราบตามระยะเวลาที่กำหนดไว้
เมื่อทั้ง 2 อธิบดีได้รับจัดสรรหุ้นบางจากเป็นที่เรียบร้อย จึงเกิดคำถามตามมา ดังนี้ 1.ในฐานะผู้แทนกระทรวงการคลังที่เข้าไปเป็น “กรรมการ” ในรัฐวิสาหกิจหรือบริษัท รับผลประโยชน์ส่วนตน ถือเป็นผลประโยชน์ทับซ้อน (Conflic of interest) มีความเหมาะสม ขัดจรรยาบรรณ จริยธรรม ผิดวินัยหรือไม่ และถ้าไม่ได้เป็นผู้แทนกระทรวงการคลัง จะมีสิทธิได้หุ้นหรือไม่
2.เป็นการใช้ข้อมูลในลักษณะอินไซเดอร์เทรดดิ้งหรือไม่ เนื่องด้วยจังหวะเวลาการได้มาของหุ้น ทั้งการซื้อและการขาย เกิดขึ้นระหว่างการเจรจาซื้อขายหุ้นเอสโซ่ของบางจาก
โดยบางจาก ได้แจ้งต่อตลาดหลักทรัพย์ฯ ว่า ที่ประชุมคณะกรรมการของบริษัท ครั้งที่ 1/2566 เมื่อวันที่ 11 ม.ค.2566 ได้มีมติเอกฉันท์อนุมัติการเข้าทำธุรกรรมและเห็นชอบให้เสนอที่ประชุมสามัญผู้ถือหุ้น พิจารณาอนุมัติการเข้าซื้อหุ้นสามัญของเอสโซ่ จากบริษัท ExxonMobil Asia Holdings จำกัด หรือเอ็กซอน โมบิล
ซึ่งได้ลงนามซื้อขายหุ้น เมื่อวันที่ 11 ม.ค.2566 และคาดว่าจะสามารถซื้อขายและชำระเงินค่าหุ้นได้ภายในครึ่งหลังของปี 2566
ขณะที่หุ้น ESOP ที่บอร์ดบางจากมีมติจัดสรรให้กรรมการและพนักงาน เพื่อสร้างแรงจูงใจ เสริมสร้างกำลังใจ ช่วยกันผลักดันองค์กรให้เติบโตอย่างยั่งยืนนั้น เกิดขึ้นในห้วงเวลาใกล้เคียงกัน โดยกรรมการ ได้รับจัดสรรหุ้นในช่วงเดือน ธ.ค.2565 และขายหุ้นในช่วงเดือน ม.ค.2566
3.เมื่อได้รับผลประโยชน์จากการซื้อขายหุ้นไปแล้ว ถือว่าเข้าข่ายการรับสินบน ตามประกาศคณะกรรมการป้องกันและปราบปรามการทุจริตแห่งชาติ (ป.ป.ช.) หรือไม่
“ขณะนี้ผมได้เร่งรัดให้ 2 อธิบดี ส่งหนังสือชี้แจงรายละเอียดมาให้แล้ว และรอข้อมูลจาก ก.ล.ต.ด้วย ส่วนจะตั้งคณะกรรมการสอบข้อเท็จจริง สอบวินัย หรือไม่ ต้องรอพิจารณาข้อมูลที่ชี้แจงมาก่อน ขณะที่การจะทบทวนนโยบายส่งผู้แทนกระทรวงการคลัง เข้าไปนั่งเป็นกรรมการต่อหรือไม่นั้น คงต้องรอผลสรุปจากเรื่องนี้ก่อน” นายอาคม เติมพิทยาไพสิฐ รมว.คลังกล่าว
โดยปัจจุบันกระทรวงการคลัง ถือหุ้นในรัฐวิสาหกิจ 43 แห่ง รวมทั้งบริษัทเอกชน และลงทุนในนามกองทุนวายุภักษ์ในอีกหลายบริษัทด้วย
คำตอบสุดท้ายของเรื่องนี้ จึงจะเป็นบรรทัดฐานต่อ “กรรมการ” ที่เป็นผู้แทนจากกระทรวงการคลังในการรักษาไว้ซึ่งความสง่างาม และประโยชน์ต่อทรัพย์สินของประเทศชาติ.
